1.      INTRODUCTION

 

1.1.       Purpose

Zebula Country Club is first and foremost a nature reserve, which incorporates a residential estate, bushveld golf course, clubhouse and other recreational facilities.

 

The underlying purpose of Zebula Country Club is to provide a unique estate as a home and gathering place for people who love the game of golf and the bush for its own sake. 

 

The actions of members and guests are expected to show the appropriate respect towards fellow members, the wildlife, the environment and the traditions and etiquette of golf. 

 

1.2.       Structure

The development was established by Zebula Country Club (Pty) Ltd (the Commercial Trading Company) (previously known as Interfocus SA Investments (Pty) Ltd).

 

Zebula Country Club currently comprises;

 

1.2.1    The Sectional Title development Mabalingwe 12 with 165 residential sites and a commercial site,

1.2.2    The Sectional Title development Mabalingwe 13 with 14 residential sites,

1.2.3    A Freehold development on Kareefontein farm with 40 residential sites.

.

Private owners on Mabalingwe 12 and Mabalingwe 13 have bought the “Right of extension” to register their properties in terms of the Sectional Title Act, and are required to apply for Sectional Title registration when building plans have been approved and building has commenced.  Owners have a maximum five year window to exercise their right from the date the Sectional Title Register was opened, ie. by March 2008 in respect of the initial 165 homes on Mabalingwe 12, and by December 2009 in respect of the 14 homes on Mabalingwe 13. All “Rights of extension” which have not been exercised by these dates will automatically lapse and the properties will become part of the common property.

 

Owners on Kareefontein have full title to their sites.

1.3.       Homeowners

A maximum of 10 (Ten) individuals who have a financial interest in a site will be recognized as Homeowners. This financial interest can be direct or through a company / trust.

 

The Homeowners shall appoint a single Authorised Representative who shall be the only person entitled to represent that site and vote at any meetings of members.

 

The Authorised Representative shall advise details of the Homeowners to be recorded in the Homeowner database maintained by the Body Corporate.

 

1.4.       Representation

By special agreement all Home Sites become equal members of their respective Body Corporate or Home Owners Association once they have bought their stand, and the Commercial Trading Company has no special ongoing rights or voting privileges in relation to the management or affairs of the Body Corporate.

 

1.5.       Commercial activities

The Commercial Trading Company has however retained ownership of the sites on which the clubhouse and lodge are built, and has exclusive rights in perpetuity to all commercial activities on the property.  The Commercial Trading Company trades as “Zebula Country Club and SPA”. 

 

No homeowner, individual, or company may trade commercially, either formally or informally, on the estate without prior express approval in writing from the Commercial Trading Company.

 

Although the Board of Trustees will include representatives from the Commercial Trading Company the Board’s role in relation to the commercial activities is one of liaison only. The Commercial Trading Company is a separate legal entity managed by its Directors.

 

All common property which includes the land on which the golf course is situated has been transferred to the respective Body Corporate. 

 

1.6.       Board of Trustees

Although there are separate developments, and therefore two separate Body Corporate entities and a Homeowners Association, by agreement these are jointly governed by elected representatives who meet on a regular basis together with representatives from the Commercial Trading Company to ensure participation and input from all stakeholders. This combined group is hereinafter referred to as the Board of Trustees.

 

The Board of Trustees shall be the ultimate management body in respect of all common property on the combined estate, and all its members are hereinafter referred to as Trustees.

 

The Board of Trustees may elect or appoint individual Trustees or other persons to perform or oversee various specific functions.

 

The Chairman of the Board of Trustees shall be elected annually by the Trustees.


 

2.      Estate rules

 

The purpose of these rules is to govern the use of the common property within the Estate and to prescribe and regulate the conduct and activities within the Estate.

2.1.       Homeowners / Family Members

The Body Corporate cannot regulate the ownership or structure of shareholding in any site but only a maximum of 10 (Ten) INDIVIDUALS who have a financial interest in a site will be recognized as Homeowners for purposes of;

a)      Issuing access control stickers or cards

b)      Golf  membership

c)      Any other Homeowner priviledges

 

The Homeowner’s financial interest can be held either directly in their personal name or through a company / trust.

 

The Authorised Representative of the Site shall advise details of the Homeowners to be recorded in the Homeowner database maintained by the Body Corporate.

 

A Homeowner may request a maximum of 5 additional persons to be recorded as Homeowner Family Members provided they are a spouse or direct relative of the Homeowner.

 

Homeowner Family Members are eligible for membership of the golf club, but will be not be issued separate access stickers or cards.

 

2.2.       Access control

All persons entering or exiting the estate are required to comply with the security procedures implemented by the Board of Trustees.

 

Homeowners and their guests will be permitted access onto the property provided they;

a)      Have the official Zebula Country Club vehicle sticker affixed to the front windscreen of their vehicles, or

b)      Produce their Zebula Country Club Membership Card or approved Visitors Access Card.

 

Vehicle access stickers, Membership cards and Visitors access cards shall only be issued to individuals who are recorded in the register of Homeowners.

 

All other visitors, who are not in possession of a Membership card or Visitor access card, including family members of owners and guests, in separate vehicles are required to register at the security control at the entrance gate.

 

All visitors will be given an Access Form on entry to the Estate and will be required to have this stamped at the clubhouse reception.  No visitor or guest will be allowed to depart without returning the stamped Access Form to security.

 

A maximum of two Vehicle Access stickers and two Visitor Access cards per registered Homeowner may be issued each year for use by Homeowner family members or guests.

 

a)      These Visitors Access cards can be purchased by the homeowner at Reception, on presentation of suitable identification.

b)      It is the homeowner’s sole responsibility at all times to control the issue, security and use of these Visitors Access cards.

c)      Guests may use these Visitors Access cards in place of the normal Access Form at entry or exit.

 

2.3.       Boating

Rowing boats and canoes may be used for recreation and/or fishing on the large dams. 

 

Boating is not permitted on any of the golf course dams.

 

No power boats are permitted on any of the dams

 

2.4.       Building Rules and Regulations

The rules and regulations relating to building are contained in a separate document.

 

2.5.       Camping

Camping is not allowed anywhere on the Estate and no tents or caravans are permitted.

 

2.6.       Disclaimer

The Directors, Shareholders and Trustees do not accept any responsibility whatsoever for any loss of life or theft of any kind or damage or loss of any vehicle or any injury to any person on the premises of Zebula Country Club.

 

The Directors, Shareholders and Trustees do not accept any responsibility whatsoever for any damage to property occasioned by any act or omission of any person, nor for any damage whatsoever caused by any act or omission of any of the members, homeowners, guests, servants or agents.

 

The Directors, shareholders and Trustees do not accept any responsibility whatsoever for safekeeping of any property or goods brought onto the property by any person.

 

2.7.       Environmental Protection

The design and management of the Estate is intended to cause minimal disruption to the natural bushveld environment. 

 

Protection of this natural environment includes all plant life, wild animals, birds, fish, water and air. 

 

No activities will be permitted on the Estate that cause harm or disruption to the environment. 

 

Vehicles may only be driven on designated roads.

 

Any person found violating these guidelines will be severely penalized.

 

2.8.       Feeding of animals

Controlled feeding of animals using approved specially formulated mixtures suitable for wild animals is permitted on home sites.

 

No scraps or other food items may be placed or left outside where animals may gain access to it.

 

No potentially harmful substances, including plastic bags, may be kept in the open.

 

2.9.       Firearms

The use of any firearm, air rifle, pistol, gas-propelled or powered arms, bow and arrow, slingshot, fireworks or any other potentially hazardous or dangerous weapon is strictly prohibited, unless under the direct supervision, and with the specific consent, of a qualified ranger appointed by the Commercial trading Company.

 

2.10.   Fires

Fire protection on the Estate is critical.

 

Open, unprotected fires may not be lit anywhere on the Estate.  Fires may only be lit in a purpose built braai area and must be adequately supervised.

 

Areas surrounding braais must be kept clear of grass or other combustible material at all times and fires must be properly extinguished after use.

 

Braai covers are required to be used on all open fires when not being directly supervised.

 

Care should be taken at all times to avoid veld fires and in particular burning cigarettes should never be thrown from cars or dropped in the veld or on the golf course.

 

Any homeowner found responsible for causing any damage through fire will be held responsible the cost thereof.

 

2.11.   Fishing

The dams on the property have been stocked with fish and controlled fishing is permitted.  Daily fishing permits are available from the Clubhouse reception.  All fish caught must be released back into the dam.

 

2.12.   Flora and Fauna

All flora and fauna is protected and may not be tampered with or harmed in any way.

 

No plants or trees may be removed unless these interfere with the positioning of a house. 

 

No dead wood may be collected or removed from the property by homeowners or visitors.  Dead wood forms part of the eco system and may not be disturbed. Management however have the right and responsibility to maintain the property in good order and may remove dead trees within reason at their discretion.

 

Additional indigenous plants and trees may be planted by homeowners on their sites.  A comprehensive list of approved trees and shrubs is available from the Clubhouse reception or the web site.

 

No animals, birds, reptiles, insects or fish may be brought onto the Estate without the specific written approval of the Trustees.  The total headcount of wild animals on the Estate will be controlled to avoid overgrazing.

2.13.   Game viewing

The Estate is stocked with a wide range of wild animals and reptiles some of which could be dangerous. Care should therefore be taken at all times.

 

Game viewing is encouraged and may be conducted by motor vehicle, game vehicle, golf cart, mountain bike, or on foot. Evening drives and the use of spotlights is permitted, but only to 20:30.

 

Organized horseback rides and quad bike rides can also be booked through the clubhouse reception. No privately owned motorized bikes are permitted to be used on the property.

 

Quad bikes or motor cycles may only be used on the property by the Commercial Trading Company or Estate staff in the course of their duties or for the purpose of conducting controlled activities.

 

Animals have the right of way at all times and may not be harassed or frightened in any way.

 

2.14.   General Behavior

Any conduct which disturbs the peace and tranquility is not permitted. Please respect the fact that the Estate is situated in a Nature Reserve and all persons are requested to act accordingly.

 

Excessive and unnecessary noise by vehicles, power generators, power tools, appliances, radios, and/or raucous behavior by individuals constitutes a disturbance of the peace under these rules.  Generators and power plants may only be used with the approval of the Trustees.

 

All noise is to be kept to a minimum, particularly after 23h00.

 

Any person displaying aggressive conduct towards staff, homeowners or any other person on the Estate will be dealt with severely. Action taken against the offending person may include the levy of a fine, removal from the property, arrest, refusal of future access, or such other action as is deemed appropriate.

 

2.15.   Hiking

Hiking on the Estate is encouraged and various specially marked hiking trails have been provided for the purpose. 

 

Hiking is permitted anywhere on the common property, except on the golf course, but privacy of homeowners must be respected at all times.

 

2.16.   Housekeeping

A housekeeping service is available on request.

 

Please contact the Clubhouse reception or the Housekeeper direct for more details.

 

2.17.   Insurance

In terms of the Sectional Title Act all buildings, including private homes, have to be insured in terms of a single combined policy approved by the Body Corporate.

 

Individual homeowners may elect the value to be insured, subject to certain minimums.

 

2.18.   Irrigation

Water is a scarce commodity and must be conserved at all times. 

 

Watering of grass, plants or trees is discouraged but if necessary this can be done by hand.

 

The use of automatic or manual irrigation systems are not permitted.

 

2.19.   Landscaping

Limited landscaping only of private property is permitted. Homeowners are required to maintain their sites in a natural bushveld condition.

 

Indigenous plants and trees may be planted as provided above and must be left to grow naturally in the bushveld environment. 

 

A maximum of 50 sq meters of lawn may be planted and maintained in the immediate vicinity of a recreational area on a home site.  Homeowners are encouraged to plant the naturally occurring cynoden grasses for this purpose.

 

Cynoden grass may be planted beyond this 50 sq meter limit but all grass outside the immediate vicinity of a home must be left to grow naturally.

 

2.20.   Letting of properties

A rental administration service is available which owners are encouraged to use if they wish to rent out their property from time to time.

 

Owners are however entitled to make their own arrangements and allow other people to utilize their home if they wish.

 

Where owners allow other parties to utilize their homes they are still responsible for their conduct while on the property.

 

2.21.   Littering

All owners, guests, visitors, contractors and employees are required to refrain from littering anywhere on the Estate. 

 

All home sites are required to be maintained free from any form of litter whether before, during or after construction of the home.

 

As soon as possible after completion of construction homeowners are required to remove any leftover construction or other related materials from their home site and restore the area outside their home back to a natural state.

 

No storage of any plant or material on a completed home site is permitted.

 

Any person found guilty of littering or failing to maintain their property in a tidy state will be penalized.

 

2.22.   Maintenance

Owners are solely responsible for the maintenance of their individual buildings and improvements on their site, including all external walls, roofs and developed areas in the immediate vicinity of their buildings.

 

2.23.   Pesticides and insecticides

Owners are required to minimize the use of pesticides and insecticides as these are potentially harmful to birds and other wildlife.

 

No dangerous chemicals may be used or left outdoors.

 

The use of Pool chemicals must be properly controlled.

 

2.24.   Pets

No pets are allowed on the Estate at any time.

 

2.25.   Picnicking

A number of picnic areas have been provided on the Estate. Homeowners may utilize these areas on the understanding that commercial reservations will take preference.

 

Homeowners are responsible to ensure that any fires in these designated areas are properly controlled and extinguished after use.

 

Picnicking is not permitted outside these designated areas.

 

2.26.   Reselling of property

A property resale service is available through the Commercial Trading Company.

 

Owners may sell their own homes privately if they wish but no external agents are allowed to operate on the property without the permission of the Commercial Trading Company.

 

Showing of homes will only be allowed by prior appointment only.

 

No advertising boards will be permitted anywhere on the property.

 

2.27.   Signage

Please read and comply with all official signage posted anywhere on the Estate.

 

Each homeowner is responsible to erect the approved standard signage indicating the stand number at the entrance to their home site.

 

No private signage will be permitted without the express approval of the Trustees.

 

 

2.28.   Speed Limits

The maximum speed limit permitted is 30 km per hour and must be obeyed at all times.  The co-operation of all people driving motor vehicles is required for the benefit and enjoyment of everybody.

 

Any person found guilty of speeding will be penalized.

 

2.29.   Staff

A managed housekeeping service is available and owners are encouraged to make use of this.

 

However if they so choose owners may employ a maximum of two domestic staff and may house them on their site at their own cost and entirely under their own control. No children, relatives or other visitors of domestic staff are permitted to stay on the property.

 

No staff member will be allowed access to the property unless they have been registered by the Homeowner personally at the administration office and are in possession of an official valid and current dated identification card. These cards reflect the employee’s name, the site number on which they are working, and the expiry date.

 

These identification cards are issued for a set time period and automatically expire on the expiry date. It is the Homeowners responsibility to ensure that arrangements are made timeously to have these cards renewed before the expiry date.

 

While on the property all staff are required to carry their identification cards. When on common property domestic staff are required to wear identification as stipulated by the Trustees. 

 

In the event that individual staff are causing a disturbance or breaking the rules owners may be requested to take appropriate action, including possibly removal from the property.

 

Domestic staff are not permitted to use the club or other Estate facilities unless accompanied by the Homeowner.

 

Staff transport between the gate and the owner’s site must be provided by the owner. No staff may walk unaccompanied over the property whether on the roads or through the bush. A scheduled transport facility is available on request at a monthly fee.

 

Any staff members found accessing another owner’s property without permission or interfering in any way with another owner’s privacy will be removed from the property.

 

No Homeowner may solicit or employ any employee working for the Commercial Trading Company, and for security reasons no ex-employee of the Commercial Trading Company may be employed by a Homeowner without the specific consent of management.

 

2.30.   Vehicles

Only licensed motor vehicles, game viewing vehicles or golf carts are permitted on the property.

 

Private quad bikes or motor bikes are not permitted under any circumstances.

 

Only licensed drivers may drive a vehicle on the Estate. Golf carts only may be driven by persons 16 years and older at the sole risk and responsibility of the Homeowner.

 

The use of all vehicles is restricted to the official graded roads and designated pathways.

 

 

2.31.   Visitors & Guests

Owners are entitled to have visitors at their home sites.

 

All visitors to the property, irrespective of whether they are visiting the club or a home site, must comply with the rules and regulations, especially those relating to security, access control and conduct.

 

All guests of owners are the responsibility of the owner while on the property and it is expected that the owner will ensure their compliance with all rules and regulations.

 

2.32.   Violation of Rules, or damage to property, by homeowners or their guests

Any violation of these Estate Rules will be referred to and resolved by the Board of Trustees. 

 

At all times the homeowner shall be liable for the cost of any damage to property, or replacement thereof, whichever is deemed applicable. 

 

Violation of the rules may also lead to suspension and/or fines being imposed on homeowners.

 

The Trustees will give notice of any violation to the offending homeowner, together with whatever action, fines, or damages they consider appropriate.

 

The homeowner has the right to appeal the decision in writing, providing whatever additional information they consider appropriate.  In the event of an appeal the Trustees shall reconsider the matter and advise the homeowner of their final decision.

 

Unless otherwise considered appropriate by the Trustees all communication in this regard shall be in writing and communicated via email.

 

2.33.   Violation of Rules, or damage to property, by visitors or contractors

Violation of these rules by any non- homeowner may lead to fines being imposed and/or physical removal from the property. 

 

At all times the offending party shall be liable for the cost of any damage to property, or replacement thereof, whichever is deemed applicable. Fines may be imposed in addition to these costs.

 

Any person guilty of verbal or physical abuse may be removed from the property and may be refused any future access.

 

The management of Zebula Country Club have the right to act on any offence committed by any non-homeowner.

 

2.34.   Management

The Board of Trustees have appointed the Management of the Commercial Trading Company as their representatives to oversee and manage the day to day affairs relating to Homeowners and the common property on the Estate.

3.1.       Introduction

Welcome to Zebula Country Club.  Our goal is to offer all golfers an experience that exceeds their expectation both on and off the golf course.  This guide is intended to help us accomplish that goal.  In order to succeed we ask that you familiarize yourself with these requirements.

 

3.2.       Hours of operation

The course is open for play from 06h30 in summer and 07h00 during winter months.

 

3.3.       Starting tees

Only the 1st tee is open for start of play every day of the week.  Tee off intervals are every 8 minutes.

 

3.4.       Members

Every Homeowner, registered as such in the database, subject to the maximum of 10 individuals per site, is entitled to become a Golf member of the Zebula Country Club upon application and payment of the annual membership fee.

 

3.5.       Booking Procedure

Tee off times may be reserved through the Pro-Shop either personally or by telephone.  Time sheets for individual play are released 30 days in advance.  Time sheets for group bookings are open one year in advance.  Bookings can be made telephonically on (014) 734-7700. 

 

Visitors and guests of members are most welcome.  Members and their guests will receive preferential bookings over weekends.  Every effort will always be made to accommodate members’ golfing needs but no guarantees can be given that members will be able to play every day of the week. 

 

At the discretion of club management Group bookings will be taken during the week but not over weekends. 

 

3.6.       Cancellations

If any player is unable to play, for whatever reason, the reserved tee-off time must be cancelled at least 48 hours in advance.  This will allow the club to notify other players in the 4 ball if necessary and to fill the available time with another player.

 

Green fees will be charged for all players who fail to arrive to play and for all cancellations less than the 48 hour limit.

 

3.7.       Start of Play

Players are required to pay for their round prior to the game.  Players are requested to report to the starting tee at least 5 minutes before the designated starting time.  During busy periods players are required to start play promptly. 

 

Any players who arrive late for their tee-off time may be required to step aside and wait for the next available time.

 

3.8.       Slow Play

Golf at Zebula Country Club is intended to be a comfortable and relaxing experience.

 

During busy periods players will be expected to keep up with the 4-ball in front throughout the game.

 

Remember your place in the field is right behind the group in front and not ahead of the group behind.  Slow play has unfortunately become a menace in most golfing circles and can be avoided. 

 

To keep the speed of golf at the expected maximum of 4 hours and 30 minutes you are requested to:

 

·        Be ready on the tee 5 minutes before your tee-off time

·        Be familiar with the rules and local rules

·        Obey the starters and marshals

·        Tee-off on time whether or not all your players are present

·        Keep up with the 4-ball in front

·        Pick your ball up if you can no longer score

·        Be courteous and accommodating to other players

 

3.9.       Caddies

Caddies are not available.

 

3.10.   Golf carts

Golf carts are available for hire from the Pro Shop. 

 

Golf carts may only be driven on the golf course by people over the age of 16 years. 

 

No more than two people with two golf bags may ride on any golf cart while playing golf.

 

Players are responsible for the protection and proper use of golf cars and will be charged for any damages caused to the golf carts or to the golf course. 

 

Golf cars may be driven across fairways but not on any tee or greens.  Players are required to observe good golf cart etiquette at all times.

 

Only homeowners may use their own golf carts on the golf course. These must be clearly marked with the homeowner’s site number and must be electric four wheel ride on carts in Hunter Green coloring similar to the hired carts available.

 

3.11.   Rules of golf

The Royal and Ancient Golf Club of St Andrews Rules apply.  Players are expected to observe the rules and etiquette of golf both on and off the golf course. 

 

Local rules are posted on the golf notice board outside the change room facilities.

 

3.12.   Dress Code

Players are required to observe traditional and accepted golf attire standards on the golf course and practice facilities. 

 

Spectators accompanying players should be appropriately dressed but do not need to wear golf attire.

 

Management reserves the right to determine and maintain all dress standards.  To avoid any embarrassment on this matter please check with the attendants in the Pro Shop.

 

3.13.   Cellphones

The use of cell phones on the golf course is discouraged

 

3.14.   Marshalls

Marshalls may be on duty to monitor the fields during busy periods.  Players are expected to observe and comply with the Marshall’s requirements. 

 

Marshalls have the authority to remove any player from the golf course because of misconduct or extreme slow play.  Under these circumstances green fees will not be refunded.

 

3.15.   Halfway House

Halfway House is available in the Clubhouse for player’s convenience. 

 

There is no time limit in the Halfway House and it is not necessary to keep your place in the field. When you are ready to recommence play you may take the next available place on the 10th tee.

 

3.16.   Practice Facilities

Practice facilities are available for player’s convenience and range balls are available from the Pro Shop. 

 

Players are required to practice only in the designated areas. Care should be taken at all times to avoid any danger to other players on the range.

 

The practice putting green is for use of players only.  The dress code applies to all people on the practice facilities

 

3.17.   Adverse weather conditions

Under the rules of golf players are responsible for their own safely while on the golf course. 

 

Players should use their own discretion when to disband play during periods of extreme weather.  Players should be aware of the dangers of lightning and should abandon play when lightning is visible.

 

3.18.   Course matters

3.18.1.  Daily maintenance:

The course requires daily maintenance.  The course staff will make every effort to avoid interference with players but course equipment and course maintenance takes priority over players.  Players are expected to exercise patience in the presence of course maintenance work.

 

3.18.2.  Pitch Marks:

Players are expected to repair all pitch marks on greens properly.  Any removed grass should be discarded and the pitch cavity closed from the sides. The sand at the bottom of the pitch cavity should never be lifted to the surface.

 

3.18.3.  Bunkers:

It is the players’ responsibility to rake all bunkers after use.  In the interest of all other players this should be done with care.  Bunker rakes should be placed on the grass and not in the bunker.

 

3.18.4.  Divots:

Players are expected to fill fairway divots with divot sand.  Divots should be properly filled and then flattened by foot so that the divot sand does not protrude above the level of the fairway grass.

The clubhouse area and all services and facilities offered are privately owned and managed by the Commercial Trading Company.

 

These facilities are available for use by homeowners, members, guests and visitors.

Customer demand will often dictate the level and duration of services required.  Please enquire from the reception desk for special requirements.  Wherever possible these will be fulfilled.

 

4.4.       Food and Beverage

No homeowner, guest or visitor is permitted to bring any food or beverage onto the premises for consumption purposes. For this purpose premises includes the clubhouse, lodge rooms, SPA and golf course.

 

Zebula Country Club is a licensed facility.  Both the Country Club and all customers are required to comply with the terms and conditions of the Liquor Act.  The responsibility with respect to consumption of alcoholic beverages lies with the individual and not with the Country Club.  Each individual is expected to conduct themselves with the consumption of alcohol in such a way that is not offensive to the rights and feelings of others.  Employees who serve alcoholic beverages are empowered and have been instructed to refuse to serve alcohol to any person under the age of 18 years and to any person, who in the sole opinion of the employee, has consumed an excessive amount of alcohol.

 

4.5.       Smoking rule

The Clubhouse is designated as a non-smoking facility and smoking is not permitted anywhere within the building.  Smoking is permitted on the open patios.

 

Cigarettes may not be sold to any person under the age of 16 years.

 

4.6.       Club staff

No homeowner, guest or visitor will be allowed to abuse any member of staff.  Any complaint against any member of staff should be referred immediately to management on duty at that time.

 

4.7.       Order and decorum

Zebula Country Club is intended to be a user friendly and fun filled venue.  In the interest of all parties responsible and proper decorum must be observed throughout the Club premises at all times.  Offensive behavior will not be tolerated.  Any individual behaving in an unbecoming manner will be required to leave the Club premises at the sole discretion of Club management.

 

4.8.       Dress Code

Dress code in and around the Clubhouse is comfortable and relaxed.  Bathing costumes are not permitted in the Clubhouse.  Shirts or blouses and shoes or sandals are required to be worn in the Clubhouse.

 

4.9.       Notices

No private notices of any nature are permitted to be displayed on the Club’s notice boards.

 

4.10.   Parking

Parking is permitted only in designated parking bays.  No vehicles should ever be left unattended in the entrance of the Clubhouse.  This area is reserved for drop-off and game drive vehicles only.

5.1.       Structure

Zebula Country Club comprises two separate sectional title schemes known as Mabalingwe 12 and Mabalingwe 13 administered in terms of the Sectional Title Act 95 of 1986, together with a Freehold Development known as Kareefontein, with the following specific provisions.

 

In the interests of the all members it has been agreed to administer the various schemes under a joint Board of Trustees, with reciprocal traversing and rights of use of the respective common properties, and combined rules and regulations.

 

Representatives of the commercial trading interests also participate in the meetings of the Board of Trustees to ensure that all stakeholders interests are taken into account and there is adequate co-operation and dialog between all interested parties.

 

5.2.       Voting by Members

Owners of sites on the property are entitled to one vote per site on all matters.

 

The owners of each site shall elect a single representative to represent their interests at any meetings, and only the appointed representative may vote at these meetings.

 

The name, address and contact numbers of the authorised representative shall be advised to the secretary of the Body Corporate in writing at least 48 hours prior to a meeting and such notice must be signed by all persons holding beneficial ownership of at least 60% in the respective unit.

 

The appointed representative shall remain the sole representative of all owners in the individual unit until replaced in writing as provided above.  

 

5.3.       Annual General Meeting

The combined Annual General Meeting of the separate Sectional Title schemes shall be held jointly each year, after completion of audited financial statements to the end February of that year.

 

 

The business to be conducted at the AGM shall include;

 

·        Review of the financial statements for the completed year

·        Review of the estimated income and expenditure for the forthcoming year

·        Details of the levies payable for the forthcoming year

·        A review by the Chairman of the affairs of the Body Corporate

·        Election of Trustees

·        Appointment of Auditors

·        Consideration of the insurances

·        Determination of domicilium citandi et exectutandi of the Body Corporate

·        Any special business of which due notice has been given in terms of the Act.

 

Owners holding at least 20% of the votes present either in person or by proxy shall constitute a quorum at an AGM.

 

The Chairman of the Trustees shall preside as Chairman at all general meetings.

 

At the discretion of the Chairman voting on various issues shall be by show of hands or in writing, provided that where the outcome is not clear on a show of hands then a poll shall be conducted.

 

Election of Trustees shall be carried out by poll.

 

5.4.       Board of Trustees

5.4.1.   Election

The Trustees shall be elected annually at the joint AGM of the sectional title schemes.

 

Only the official appointed representatives of the various sectional title units are eligible for election to the Board of Trustees.

 

Other than retiring Trustees all nominations for the election of Trustees shall be advised in writing, accompanied by the consent of the nominee, by no later than 48 hours prior to the meeting.

 

The number of Trustees to be elected by homeowners shall be;

 

By Mabalingwe 12 members                 - 7        (from 165 home sites)

By Mabalingwe 13 members                 - 2        (from 14 home sites)

By Kareefontein members                     - 3        (from 40 home sites)

 

In addition the Commercial Trading Company, shall be entitled to nominate 2 persons to act as its representatives at the Board of Trustees.

 

Trustees shall automatically retire at each AGM but shall be eligible for re-election.

 

5.4.2.   Chairman

The Trustees shall elect a Chairman from among their number at the first meeting after each Annual General Meeting.

 

The Chairman shall hold office until after the next Annual General Meeting, or until replaced at the request of a majority of the Trustees.

 

The Chairman shall not be entitled to a casting vote.

 

In the event that the Chairman is not present at a meeting the Trustees present may elect a replacement Chairman for the meeting.

 

5.4.3.   Removal of Trustee

Any elected trustee may be removed from the Board during the year at the request of a majority of the remaining Trustees or for failing to attend three consecutive Trustee meetings.

 

5.5.       Meetings

All trustees shall meet together and decisions regarding the administration and operation of the combined properties shall be determined jointly as if they were a single scheme.

 

Meetings of Trustees shall be convened by the Chairman or any Trustee by not less than 7 days written notice, which notice shall specify the reason for the meeting.

 

Unless agreed by the majority of Trustees all meetings shall be held on a Saturday morning at 10h00 at the Zebula Country Club premises.

 

The quorum at all meetings of Trustees shall be 50% of the total number of Trustees.

 

All matters at any meeting of the Trustees shall be determined by a majority of the votes of the Trustees present.

 

5.6.       Powers and Duties of Trustees

Trustees shall do all things reasonably necessary for the control, management and administration of the common property.

 

Trustees are entitled to appoint such agents and employees as they deem fit in connection with the control, management and administration of the common property.

 

The costs of providing these services shall be recovered by the Trustees from owners through monthly levies.

 

5.7.       Remuneration

Trustees shall not be entitled to any remuneration in respect of their services as Trustees but shall be entitled to the re-imbursement of any disbursements and expenses actually and reasonably incurred by them in carrying out their duties.

 

5.8.       Indemnity

Trustees shall be indemnified by the Body Corporate against all costs, losses, expenses and claims which they may incur or become liable to in the discharge of their duties.

 

 

 

5.9.       Insurance

It is a specific requirement in terms of the Sectional Title Act that all buildings and improvements on the property shall be insured in terms of a single group policy approved by the Body Corporate.

 

This policy shall include cover for liability in respect of death, injury, illness or loss of or damage to property occurring in connection with the common property

 

The Trustees shall determine the minimum value at which any buildings or improvements are insured, but owners may at any time increase the value at which their respective unit is insured.

 

By direct negotiation with the insurance company homeowners may also optionally include insurance cover on the contents of their homes, or other assets.

 

The full amount of the insurance premium applicable to the individual units shall be payable by homeowners in terms of the requirements of the approved policy.

 

These insurance premiums are not included in the monthly levy which is payable separately to the Body Corporate.

 

In addition the Trustees shall insure the risk to the Body Corporate against losses through fraud or dishonesty by employees.

 

5.10.   Maintenance

Maintenance of the common property shall be administered by the Trustees from the proceeds of the levy fund.

 

This includes estate security, roads, fencing and common services.

 

Maintenance of the golf course is carried out by the commercial trading company at a negotiated fee.

 

Maintenance of owners’ individual homes is not provided for in the normal monthly levy and must be carried out by owners at their own cost.

 

The exterior and roof of individual homes and the area immediately surrounding the improvements, to a maximum distance of 10 meters, is considered to be common property allocated for the exclusive use of the owner. The costs of maintaining this exclusive use area is also for the account of the owner.

 

In the event that, in the opinion of the Trustees, owners are not adequately maintaining the common property allocated for their exclusive use the Trustees may at their discretion, and after giving the owner 30 days notice, take steps to remedy the failure and to recover the cost thereof from the owner together with an administration fee of 10%.

 

 

 

 

5.11.   Levies & Services

5.11.1.  Levies

Levies shall be calculated annually based on the estimated income and expenditure of the Body Corporate in the control, management and administration of the common property.

 

Levies to cover the expenditure on the common property are recoverable from all owners equally, irrespective of whether or not the owners have erected improvements on their site or the extent of the improvements.

 

Expenses which can be directly attributable to an individual site, such as property insurance and maintenance, are payable directly by the respective owner and are not included in the normal monthly levy payable to the Body Corporate.

 

5.12.   Payment of levies

All levies are payable in full by the 7th of the month in which they fall due.

 

A service and administration fee of 10% of the outstanding amount shall be charged monthly on all overdue levies.

 

5.13.   Services

Separate meters have been installed to record the consumption of electricity by each owner. Individual charges will be calculated and are recoverable from each owner based on their actual consumption.

 

The Trustees are entitled to install separate meters to record the consumption of water by each owner and to levy separate charges for such consumption.

 

5.14.   Responsibilities of Owners

An owner may not conduct or allow to be conducted any activity considered detrimental to the property as a whole or his immediate neighbors.

 

 


 

6.      COMMERCIAL ACTIVITIES

 

6.1.       Commercial trading rights

In terms of the sale agreements entered into by homeowners with the Developer, Zebula Country Club (Pty) Ltd (previously Interfocus SA Investments 85 (Pty) Ltd, all homeowners are expressly restricted from conducting commercial trading activities on the property.

 

Zebula Country Club (Pty) Ltd has the sole rights to conduct commercial activities on the property.

 

These include;

  • Pro Shop, golf course and cart hire
  • Restaurant, Halfway House and Bar
  • SPA
  • Bush activities, including game drives, quad bike safaris and horse trails
  • Property sales and rental administration
  • Lodge accommodation and conferencing
  • Housekeeping, Cleaning and Garden Maintenance.

 

In terms of an agreement between the Body Corporate and the Commercial Trading Company 20% of the audited combined net profit from all commercial activities shall be paid to the Body Corporate in lieu of levies on the sites owned and managed by the Commercial Trading Company.
